New NDA
From the CouchSurfing Wiki, an informal workspace which anyone can edit.
THIS PAGE IS OUTDATED
The NDA needs to be changed. The CouchSurfing Tech team wants to get new people on board, but our current Non Disclosure Agreement is pretty harsh. There are several brilliant people who want to join our team, but who don't want to sign the current NDA.
See the current NDA.
The main problems with the current NDA:
- the trade secret clause is way too broad
- non-competitive clause
The main issue, according to Casey, is that developers are promising
to protect the sanctity of the data in the database. The code is no
longer considered "trade secret" and will in fact be fairly public
within a few months. Exposure to the code should no longer be
considered to taint a developer. But nondisclosure of private data
like email msgs, etc is still just as much a priority as it ever was.
Check the draft for a new NDA as of May 15th 2007, or so.
Former proposal for a new NDA, mainly by Joe Edelman
This is a new NDA that needs to be ratified by CouchSurfing, especially Casey, before it can be accepted. It would be cool if you could give us your opinion if you're a lawyer.
